MEMBERSHIP CODE OF CONDUCT AGREEMENT

Off Market Exchange is a private, members-only marketplace built for serious buyers, sellers, collectors,
dealers, brokers, and automotive professionals who value trust, discretion, and direct access to high-
quality opportunities.
By requesting access, creating an account, submitting a listing, viewing listings, contacting another
member, or participating in any transaction opportunity through Off Market Exchange, each member
agrees to follow this Code of Conduct, Terms, Fees and Conditions
Terms:
One (1) year membership, with automatic annual renewal until either member chooses to not renew or
member is removed from the platform. All vehicle postings will be considered active as part of the Off
Market Exchange network until sold or found and for a duration following a successful exchange.
Membership Includes open access to post, engage, buy, sell and communicate within the Off Market
Exchange Marketplace with unlimited postings and activity.
Dues / Fees:
By proceeding I agree to the following Off Market Membership dues and Platform Transaction fees
Membership Dues: Initial membership introductory dues of $200 USD (waived first year) and a
Grandfathered $200 USD annual renewal due thereafter. This introductory $0 rate is good for the first
year and an annual fee of $200 USD will be initiated at year 2 and beyond. Cancelation of annual
membership must be supplied no later than 30 days prior to renewal date to
support@offmarket.exchange.
Transaction: Fees A 1% Transaction fee will apply to all successful Sales and/or Sourcing of autos
associated with the use of Off Market Exchange’s platform. Fee is applicable to all successful asset
transfers into, with or within OME’s community and billed via NET 30 term invoice at close of deal to the
selling party unless otherwise directed
Code of Conduct:
Off Market Exchange is a global peer-to-peer private members only network established for the ease and
privacy of high-end, exotic and rare automobile off market transactions. OME is a community of respect
for all members & holds a true intent for purchasing & selling (exchange) of said automobiles worldwide.
A zero-tolerance policy is strictly enforced associated with slander, miss representation of clients their
autos and/or lack of intended commerce by members, theft of intellectual property, members information
etc… Issues may be surfaced with Off Market Auto Exchange at Support@OffMarket.Exchange for
review and any plausible corrections and/or if required full removal of offender.
Members agree to:

Act with integrity in all communications and transactions.
Provide accurate information when submitting vehicles, wanted listings, contact information, pricing, and
availability.
Communicate respectfully with other members, administrators, buyers, sellers, and representatives of Off
Market Exchange.
Use the platform only for legitimate automotive buying, selling, sourcing, listing, or networking purposes.
Respect the private nature of the marketplace and the relationships created through it.
Confidentiality of Information:
Any and all information secured, housed, provided into Off Market Exchange is considered confidential
and for the sole use of automotive transactions. No outside use of any information is permitted.
Members agree not to:
Share private marketplace information with non-members.
Send member contact information to outside parties.
Use information from Off Market Exchange to build, support, or supply another marketplaces, broker
networks, or competing services.
Confidentiality applies during membership and continues after membership ends.
Authority to List & Accuracy of Listing
Members may only submit vehicles, opportunities, or wanted requests that they are authorized to list,
represent, source, or pursue.
Members who submit vehicles for sale or wanted listings are responsible for the accuracy of the
information they provide.
Members agree to:
Represent vehicles honestly.
Disclose known material issues when appropriate.
Use accurate photos, descriptions, VINs, mileage, ownership details, location details, pricing, and
availability information.
Promptly update or remove listings that are sold, found, withdrawn, or materially changed.
Off Market Exchange may edit, reject, remove, suspend, or request clarification on any listing at its
discretion.
Use of Log In Credentials:
Your membership ID & log on is intended for single person use only. Sharing of ID for others and or other
entities to log into Off Market Exchange is strictly prohibited.

Enforcement:
Off Market Exchange reserves the right to monitor platform activity, review listings, investigate potential
violations, and take action when necessary to protect the integrity of the marketplace.

Violations of this Code of Conduct may result in:
Listing removal.
Loss of marketplace access.
Suspension or termination of membership.
Off Market Exchange may remove access at its discretion if a member’s conduct is considered harmful to
the platform, its members, its administrator, its reputation, or its business interests.
No Guarantee of Transaction:
Off Market Exchange provides a private platform for members to discover, list, source, and discuss
automotive opportunities. Off Market Exchange does not guarantee that any listing will sell, any wanted
request will be fulfilled, any member will complete a transaction, or any opportunity will remain available.
Members are responsible for their own due diligence before entering into any transaction.
Agreement To This Code:
By checking the agreement box, submitting a request for access, creating an account, paying the initial
membership dues, logging in, submitting a listing, viewing private marketplace information, or
communicating with another member through an opportunity discovered on Off Market Exchange, the
member acknowledges that they have read, understood, and agreed to this Code of Conduct.
By proceeding with membership, you acknowledge to adhere to Off Market Exchange’s posted Code Of
Conduct, the proper use of Off Market Exchange’s platforms and comply with fee structures accordingly.
System access will be granted immediately following acknowledgment of this agreement.
